Social Media and Internet Management and
Consulting Services Contract

This contract is a legally binding agreement between (Client) and Platino Marketing LLC (Agency), of entered into on (DD/MM/YYYY).


• Platino Marketing Agency will provide several services designed to boost the online presence of the Client.

• The Client will compensate the Agency for such services by paying a monthly fee (Annex 1) due on the first day of each thirty (30) day period.

Terms and Termination

1. Duration

• The Agency will provide services to the Client for an initial period of six months (6) consecutive calendar months beginning on (DD/MM/YYYY) and ending on (DD/MM/YYYY).

• The following contract is binding for three consecutive months (90) days. Once this period is complete, the client has the right to cancel the service as long as it is notified in writing to the agency via email, otherwise they will be charged with the monthly fee of services.

• The first 15-business day of the contract will be used by The Agency to conceptualize, design, and create strategies. This strategic can be modified according the customer needs, until its approval. If The Client does not approve the strategies and choose to terminate the contract before its period ends, The Client must pay the fist (1st) month rate of the contract for the elaboration of the project.

• The Agency may have thirty (30) day to establish a presence on behalf of the organization across all agreed upon platforms. During this time, the Agency will work to establish what techniques will work best for the organization.

2. Services

• The Agency will establish the organization’s online presence on the following Internet services and platforms:

A) 02 Facebook Post per day.

B) 02 twitter Post per day.

C) 02 Instagram Post per day.

D) Content Creation.

E) 02 Google Plus Post per day.

F) Uber Eat / Eat 24 management.

G) Yelp management.

H) Professional Photography session.

J) Other .

• It is important to emphasize that the contracted services does not include any strategic marketing development, so it must be delivered by the Customer.

• The Agency will meet the following quotas:

a) One (1) On-Line interaction with the Client (monthly) b)One (1) additional On-Line interaction with the Client, if required by the client

• The Agency will meet with the Client at end of each thirty (30) day period (in person, by phone, or online) to discuss the campaign’s progress and discuss strategy for the upcoming period.

• The agency will send "pdf file" with design and content for approval, the Client will have 02 consecutive days to indicate their approval or request any variation. If the agency does not get any response within the established period, the proposal will be assumed as approved.

• The mentioned services represent a complete list of the Agency’s contractual obligations. The Agency may decide to provide additional services when it is considered necessary.

3. Compensation

• The Agency will manage the Client’s social media presence for a recurring charge of $1.499,99 due on the date this contract is signed by both parties. Therefore, the amount would be payable the of every month.

• The Agency will accept payment in Credit Card, Debit Card, Cash or Company Check.

4. Penalties

• Delay fee of 25$/per day will be charged to customer after the of the month, if the payment is not made by the stablished date.

• Once the completed amount of the monthly rate has been paid the Agency will reactivate all services. If a suspension of services occurs, the complete payment will be necessary to continue with the services.

• If the client does not execute the payment after 5 days, the account will be suspended until payment is complete. The Agency has the right to interrupt all services to the Client after the payment period is expired, until all outstanding dues have been cleared.

• After 7 of such payment services will be renew.

5. Account Access & Authorization

• The Agency is authorized by the Client to assume his identity in all social media interactions on the internet including, but not limited to, status updates, blog posts, online forum discussions and message board posts, comments, and responses to user comments, and emails.

• The Client will demonstrate this authorization by providing URLs, usernames, and passwords for all of its social mediums in the space below:

• The Agency will hold the Client’s URLs, usernames, and passwords in confidence. The Agency will not share this information under any circumstances and will not sell this information to a third (3rd) party.

6. Rights to Created Content

• The Client will retain the right to all content created by the Agency for them. However, the Client may not distribute for profit any content created by the Agency for them, while without the written consent of the Agency.

• The Agency will retain the right to use any and all content created by the Agency for the Client, while under contract, for the purpose of (1) providing samples of the Agency’s work or (2) instruction – including, but not limited to, presentations, lectures, webinars, and published material in any medium.

7. Access to Client Information

• In order to accurately determine ROI (Return on Investment), the Agency will require financial and customer information from the Client. This solicitude will be made directly to the Client in person, over the phone, or in writing. After receiving, the Agency will store the information in the Client’s physical folder, electronic records will be deleted from our system.

• The Agency will not share this information under any circumstances and will not sell this information to a third (3rd) party.

8. Liability Waiver

• Establishing a social media presence and build a two-way flow of communication between the Client and the public can have unintended consequences on the Client’s reputation. If it might this occur, the Client waives its right to hold the Agency responsible for any damage and/or liability that may arise from the Agency’s actions on behalf of the Client.

• If the Client does not agree with actions taken by the Agency on its behalf, it must be notified to the Agency in writing. If the Agency receives such a communication, the Agency will post a retraction and apology across all affected platforms within twenty-four (24) hours.

9. Amendments & Addendums

This contract is to be considered as a whole. However, the management of social media is changing quickly, therefor this contract can have amendments if it is required to improve the service provide for the agency.

Such amendment or addendum must be drawn up as a separate document, signed by both parties indicating their agreement, and a copy of the signed document must be provided to the Client and the Agency.

10. Entire Agreement

If one of the parties violates the terms and conditions stablished in this contract, it releases the counterpart from any obligation for non-compliance.

IN WITNESS WHEREOF, both parties signify their authority to act on their organization’s behalf and agreement to abide by the terms of this contract effective from the date written above by the signatures affixed below.
